Terms of Service

1. Agreement to Terms

By accessing or using Coordially ("Platform"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, you may not use the Platform.

2. Description of Service

Coordially, Inc. ("Coordially," "we," "us," or "our") provides an online marketplace that connects couples ("Clients") with wedding vendors ("Vendors"). The Platform enables users to:

• Discover vendors
• Communicate with vendors
• Schedule appointments or tours
• Book vendor services

3. Coordially's Role

Coordially is a technology platform and marketplace.

• Coordially does not provide wedding or event services
• Vendors are independent service providers
• Coordially is not a party to any agreement between Clients and Vendors

All services are provided solely by Vendors. Any service agreement is directly between the Client and the Vendor.

4. User Accounts

You must create an account to use the Platform. You agree to:

• Provide accurate and complete information
• Maintain account security
• Notify us of unauthorized access

We may suspend or terminate accounts at our discretion.

5. Booking and Payments

Payment Processing Payments are processed through a third-party payment provider (e.g., Stripe). Coordially does not store full payment information.

Payment Terms

• Vendors define their own pricing and payment schedules (e.g., deposits, installments)
• By booking, you authorize payment according to Vendor terms

Failed Payments If a payment fails or is declined:

• The booking may not be confirmed, or
• The Vendor may cancel the booking

Coordially is not responsible for failed transactions.

Processing Fees Payment processing fees (e.g., Stripe fees) may be included in the total amount charged and may be non-refundable, even if a booking is refunded.

6. Vendor Agreements, Cancellations, and Refunds

All bookings are governed by the agreement between the Client and the Vendor, which may include a contract provided by the Vendor.

• Cancellation policies are determined by the Vendor
• Refund eligibility is determined by the Vendor
• Coordially is not responsible for refunds or enforcement of Vendor policies

Vendor policies may change over time, including the potential adoption of standardized booking terms.

Vendor Cancellations If a Vendor cancels:

• The Vendor is solely responsible
• Coordially is not liable for Vendor cancellations

7. Communication and Messaging

The Platform allows communication between Clients and Vendors. You agree to:

• Communicate respectfully
• Not send unlawful or abusive content

Messages may be stored for service, support, and security purposes.

8. User Conduct

You agree not to:

• Use the Platform unlawfully
• Impersonate others
• Interfere with systems
• Upload harmful code
• Provide false or misleading information

9. Disputes Between Clients and Vendors

Coordially is not responsible for disputes between Clients and Vendors. This includes:

• Service quality
• Cancellations
• Refunds
• Contract performance

Coordially does not mediate disputes.

10. Intellectual Property

All Platform content is owned by Coordially. You may not:

• Copy or reproduce the Platform
• Reverse engineer the Platform
• Use Coordially branding without permission

11. User Content

By submitting content, you grant Coordially a license to use and display it. You confirm:

• You own the content
• It does not violate laws or third-party rights

12. Platform Availability

Coordially does not guarantee uninterrupted or error-free service.

13. Disclaimer of Warranties

The Platform is provided "AS IS" and "AS AVAILABLE." Coordially makes no guarantees regarding:

• Vendor performance
• Booking outcomes

14. Limitation of Liability

Coordially is not liable for:

• Vendor services or failures
• Cancellations or disruptions
• Financial or personal losses related to events

15. Indemnification

You agree to indemnify Coordially from claims arising from:

• Your use of the Platform
• Your interactions with Vendors
• Violations of these Terms

16. Termination

We may suspend or terminate your account at any time.

17. Governing Law

These Terms are governed by the laws of the State of Delaware.

18. Changes to Terms

We may update these Terms at any time. Continued use constitutes acceptance.
