Vendor Agreement

1. Agreement Overview

This Vendor Agreement ("Agreement") is entered into between Coordially, Inc. ("Coordially," "we," "us") and the vendor ("Vendor," "you"). By creating a vendor account or listing services on Coordially, you agree to be bound by this Agreement.

2. Platform Description

Coordially operates an online marketplace that connects couples ("Clients") with wedding vendors. Coordially:

• Facilitates discovery, communication, and booking
• Does not provide wedding services
• Is not a party to contracts between Vendors and Clients

3. Independent Contractor Relationship

You are an independent contractor. Nothing in this Agreement creates:

• Employment
• Partnership
• Agency relationship

You are solely responsible for your business operations.

4. Vendor Responsibilities

You agree to:

• Provide accurate and complete business information
• Maintain up-to-date availability and scheduling
• Honor bookings made through the Platform
• Respond to booking requests within 24 hours
• Ensure your calendar is accurate and synchronized

Coordially is not responsible for scheduling conflicts.

5. Services and Vendor Contracts

All services are provided directly by you to clients.

• You may provide your own contract governing services
• All service terms (including cancellations and refunds) are between you and the Client
• Coordially does not enforce or manage your contracts

6. Future Platform Standardization

Coordially may, in the future, require Vendors to adopt standardized booking terms, including cancellation and refund policies, as a condition of continued use of the Platform.

7. Booking Types

Coordially may allow:

• Request to Book: Vendor approval required
• Instant Book: Booking confirmed immediately

You are responsible for managing your selected booking settings.

8. Payments and Fees

Payment Processing Payments are processed through a third-party provider (e.g., Stripe). Coordially does not store full payment information.

Vendor Payments Payments from Clients are processed through the Platform's payment provider. Coordially does not guarantee payment processing performance.

9. Commission

Coordially charges a commission on completed bookings.

• Commission is owed after a booking payment is successfully completed
• Commission structure may be updated with notice
• You agree to pay all applicable commissions

10. No Circumvention

You agree not to bypass Coordially. This includes:

• Encouraging Clients to pay outside the Platform
• Avoiding commissions
• Redirecting bookings off-platform

Violation may result in:

• Account suspension
• Termination
• Additional fees or legal action

11. Vendor Cancellations

If you cancel a booking, you are solely responsible for:

• Notifying the Client
• Handling refunds
• Resolving the situation

Coordially is not liable for Vendor cancellations.

12. Client Disputes

All disputes between Vendors and Clients are your responsibility. This includes:

• Service performance
• Cancellations
• Refunds
• Contract enforcement

Coordially:

• Does not mediate disputes
• Is not liable for dispute outcomes

13. Content and Listings

You grant Coordially a non-exclusive, worldwide license to use:

• Business name
• Photos and portfolio content
• Descriptions and listings

You confirm you have rights to all uploaded content.

14. Suspension and Termination

Coordially may suspend or terminate your account at any time, including for:

• Breach of this Agreement
• Misrepresentation
• Poor user experience
• Circumvention of the Platform

15. Disclaimer of Warranties

The Platform is provided "AS IS" and "AS AVAILABLE." Coordially makes no guarantees regarding:

• Number of bookings
• Platform performance
• Business outcomes

16. Limitation of Liability

Coordially is not liable for:

• Loss of revenue or bookings
• Client disputes
• Service issues
• Indirect or consequential damages

17. Indemnification

You agree to indemnify and hold harmless Coordially from any claims arising from:

• Your services
• Your conduct
• Your contracts with Clients
• Violations of this Agreement

18. Governing Law

This Agreement is governed by the laws of the State of Delaware.

19. Changes to Agreement

Coordially may update this Agreement at any time. Continued use of the Platform constitutes acceptance.
